1. Introductory provisions

1.1. These general terms and conditions (the “Terms”) of JZT Ferments s.r.o. (the “Seller” or “we”) govern, pursuant to Section 1751(1) of Act No. 89/2012 Coll., the Civil Code (the “Civil Code”), the mutual rights and obligations of the Seller and the buyer (also “you”) when concluding and performing purchase contracts through the e-shop.

1.2. The Terms apply to buyers who are consumers (Section 419 of the Civil Code) as well as to buyers who are businesses and purchase in the course of their business activity (typically they state a company ID or company name in the order). The deviations set out in Article 13 apply to business buyers. A concluded framework, wholesale or other individual contract takes precedence over the Terms.

1.3. Deviating provisions in the purchase contract take precedence over the Terms. The Terms form an integral part of the purchase contract.

1.4. The contract can be concluded in the Czech language. The English and German versions of the e-shop are informative translations only; in the event of a discrepancy, the Czech wording is decisive.

1.5. We may amend or supplement the wording of the Terms. The wording of the Terms effective at the moment the order is sent applies to that order; you will receive a link to that wording in the order confirmation. Changes to the Terms for an ongoing subscription are governed by Article 7.10.

2. User account

2.1. Goods can be ordered without registration or from a user account. When registering and in the order, provide true and up-to-date details and update them in the account when they change. We consider the details given in the order to be correct.

2.2. Access to the account is protected by login details; do not disclose them to third parties. We may cancel the account if you do not use it for more than 3 years or if you materially breach the Terms. The account may not be available continuously (maintenance, outages of third-party services).

3. Goods – a chilled live food

3.1. JZT kombucha is an unpasteurised fermented tea drink – a chilled food with a short shelf life. It is stored refrigerated at 2–6 °C. The use-by date (“Spotřebujte do” / “Use by”) is stated on the label of each bottle; on delivery at least 7 days remain until this date. After opening, keep the bottle in the fridge and consume the contents within 24 hours.

3.2. Kombucha is a live product: natural sediment, haze or pieces of culture (SCOBY) in the bottle are not a defect. The drink is naturally sparkling and contains less than 0.5% alcohol by volume, which forms during fermentation (a non-alcoholic drink). Outside the fridge the drink continues to ferment and pressure builds up in the bottle – store the bottle upright and open it carefully.

3.3. The mandatory food information (name, ingredients, allergens, net quantity, nutrition facts, storage conditions, producer) is given with each product in the e-shop and on the label.

3.4. The presentation of goods in the e-shop is for information; Section 1732(2) of the Civil Code does not apply. Photographs are illustrative – the colour and haze of a live drink may vary from batch to batch.

4. Order and conclusion of the contract

4.1. You order goods by adding them to the cart and completing the checkout (delivery details, shipping and payment method). Before sending the order you can check and change the details entered. You send the order by clicking the “Objednat a zaplatit” (Order and pay) button; by sending the order you undertake to pay the purchase price (Section 1826a of the Civil Code).

4.2. We will promptly confirm receipt of the order by e-mail to the address given in the order. The purchase contract is concluded upon delivery of this confirmation.

4.3. We may withdraw from a concluded contract if the goods are not available (a sold-out batch or flavour), if the e-shop showed an obviously incorrect price (for example 11 CZK instead of 110 CZK), if you did not take delivery of chilled goods and they were returned to us without the cold chain being maintained (Article 6.7), if you did not collect an order prepared for pickup and we did not agree on an alternative date (Article 6.2(e)), or if the order is of such a size that we cannot produce and deliver it within the period under Article 6.3; in the last case we will first contact you and offer an alternative delivery date, and we may withdraw only if we do not reach an agreement within 7 days. We will inform you of the withdrawal by e-mail without undue delay and refund any amount already paid without undue delay, no later than within 14 days, in the same way we received it.

4.4. You can cancel the order free of charge until it is handed over to the carrier or to our driver, by e-mail to info@jztferments.cz stating the order number. We will refund the amount paid without undue delay, no later than within 14 days, in the same way we received it. After dispatch, Articles 9 and 10 apply.

4.5. You bear your own costs of using means of distance communication (internet, telephone); they do not differ from the basic rate.

5. Price and payment

5.1. Prices in the e-shop are stated in CZK including VAT and all fees; we are a VAT payer. Shipping costs according to the chosen delivery method (Article 6) are added to the price of the goods; they are shown at checkout before the order is sent. The price applies for as long as it is displayed in the e-shop.

5.2. The purchase price can be paid: a) by payment card or via Apple Pay and Google Pay – payments are processed by Shopify Payments; the accepted card brands are shown at checkout, b) via PayPal – the payment is processed by PayPal (Europe) S.à r.l. et Cie, S.C.A., 22–24 Boulevard Royal, L-2449 Luxembourg, Luxembourg, c) via Klarna (pay within 30 days or in instalments) – this is a separate contractual relationship between you and Klarna Bank AB (publ), reg. no. 556737-0431, registered office Sveavägen 46, 111 34 Stockholm, Sweden; its terms are shown to you before the payment is completed.

We do not offer payment by bank transfer or cash on delivery.

5.3. The purchase price is payable on completion of the order (online payment). This also applies to pickup – you pay for the order online in advance; payment is not possible at the premises.

5.4. Discount codes: one discount code can be applied per order; discounts cannot be combined unless we expressly state otherwise. The code for a 10% discount for subscribing to the newsletter is valid until revoked, one use per customer, only for a one-off purchase, cannot be combined with other discounts and does not apply to shipping – the discount is calculated from the price of the goods. We do not require a minimum purchase value for this code. The code cannot be applied to subscription deliveries (Article 7) and cannot be applied retroactively to an order already sent.

5.5. We issue the tax invoice electronically and send it by e-mail no later than with the dispatch of the goods; you agree to the electronic form of the tax invoice.

5.6. If we announce a discount on the price of goods, we will also state the lowest price at which we offered the goods during the 30 days before the discount was granted (Section 12a of Act No. 634/1992 Coll., on Consumer Protection). For goods we have offered for less than 30 days, we state the lowest price since the day they were introduced for sale. If we increase the discount gradually, we use the lowest price before the first increase of the discount. Discount codes under Article 5.4 are not a discount on the price of goods in this sense.

6. Shipping and delivery

6.1. We deliver goods throughout the Czech Republic; we do not yet deliver abroad. You choose the delivery method at checkout; the shipping price is shown before the order is sent.

6.2. Delivery methods and prices (including VAT): a) Prague – delivery by JZT's own driver: 150 CZK. We deliver on working days from 1 pm to 5 pm; goods are usually delivered within 2 working days of the order confirmation. b) Rest of the Czech Republic – chilled Cool balík parcel (COOL Balík, s.r.o., company ID 14180138, registered office Zahradní 359, 252 61 Jeneč): 150 CZK. Goods are usually delivered within 4 working days of the order confirmation. c) Home kombucha brewing kit: 150 CZK per order. The live SCOBY culture with starter travels chilled just like kombucha, so we deliver the kit the same way – in Prague by our driver, usually within 2 working days, in the rest of the Czech Republic by chilled Cool balík parcel (COOL Balík, s.r.o.), usually within 4 working days of the order confirmation. d) Free shipping for orders of 12 or more bottles – applies to Prague and the whole Czech Republic. Every bottle in the shipment counts, including the free bottles from a subscription and the bottles in boxes and sets. The home kombucha brewing kit and gift cards do not count towards this number; if you order 12 or more bottles of kombucha together with the kit, we do not charge shipping for the kit either. e) Pickup at our premises in Klecany: free, on working days from 9.30 am to 3.30 pm. Arrange the date in advance by phone or e-mail; as soon as the order is ready we will confirm it by e-mail, and from that moment you can collect it. You pay for the order online in advance (Article 5.3); payment is not possible at the premises. We keep the goods ready for you in the fridge and agree the exact pickup time by e-mail. If you do not collect the goods and we do not agree on an alternative date even after our e-mail reminder, we will withdraw from the contract and refund the amount paid without undue delay, no later than within 14 days, in the same way we received it. f) Physical gift card: we print it only on request and send it separately by post; you will see the shipping price at checkout before the order is sent and we will inform you by e-mail when the card is dispatched. We send the card code by e-mail immediately after payment, so you can give the gift before the printed card arrives; by arrangement you can also collect it in person at our premises. We send the electronic card by e-mail free of charge.

Current shipping information is also on the Shipping and Delivery page (https://jztferments.cz/en/policies/shipping-policy).

6.3. We deliver goods without undue delay, no later than within 30 days of concluding the contract (Section 2159 of the Civil Code). Before public holidays or in extreme temperatures we may postpone the dispatch of chilled goods; in such a case we will inform you by e-mail. If we do not deliver the goods on time, ask us to deliver within an additional reasonable period; if we fail to deliver within that period too, you may withdraw from the contract. You may withdraw without an additional period if we have refused delivery, if it is evident from the circumstances that we will not deliver the goods, or if delivery at a specific time was essential and you told us so before the contract was concluded. In such a case we will refund the amount paid without undue delay, no later than within 14 days of the withdrawal, in the same way we received it.

6.4. Kombucha is a chilled product. In Prague our driver delivers it in thermal boxes with cooling packs; to the rest of the Czech Republic we send it by chilled Cool balík parcel. After delivery, put the goods in the fridge (2–6 °C) as soon as possible.

6.5. The risk of damage to the goods passes to you on taking delivery of the shipment (for consumers) or on handing over to the carrier (for businesses, Article 13).

6.6. On taking delivery, check that the packaging is intact; you may refuse to accept an obviously damaged shipment or draw up a damage report with the carrier. If you discover damage only after unpacking, let us know as soon as possible (ideally within 24 hours, with a photograph) – this is not a condition of a complaint, but it helps us when dealing with the carrier. Your rights arising from defective performance (Article 10) are not affected.

6.7. If you do not take delivery of the shipment even though we informed you of the delivery in advance, you are in breach of your obligation to take delivery of the goods (Section 2118 of the Civil Code). This does not apply if you refuse the shipment because it was damaged, obviously warm or otherwise defective for a reason on our side – in such a case we will refund the full amount paid including shipping, or, by agreement, send the goods again at our expense. Chilled goods returned to us without the cold chain being maintained can no longer be sent again; in such a case we will withdraw from the contract (Article 4.3) and refund the amount paid – the price of the goods and of shipping – less the costs actually incurred for the failed delivery, but no more than 150 CZK. We set these costs off against the refunded amount and will document their amount on request. We will send the money without undue delay, no later than within 14 days, in the same way we received it. If we agree on a repeat delivery, we may make it conditional on paying for shipping in advance.

7. Subscription

7.1. For selected goods (Pick & mix box) you can choose a subscription instead of a one-off purchase: we then send you the goods repeatedly at the interval you choose – every week, every 2, 3 or 4 weeks. The subscription is technically provided by the Seal Subscriptions application (operator Seal Subscriptions, Podutiška cesta 94, 1000 Ljubljana, Slovenia).

7.2. The price per delivery (the billing period is one chosen interval) including VAT and the shipping costs (Article 6) are stated in the configurator and at checkout before the order is sent. In every subscription box you receive extra bottles free: 5 + 1 with the 6-pack, 10 + 2 with the 12-pack, 30 + 6 with the 36-pack. The exact number is always stated in the configurator.

7.3. By sending an order with a subscription you agree that the price of each further delivery will be charged automatically to the payment method you saved with the first order (Shopify Payments / PayPal), on the day each further order is created according to the chosen interval. You will find the date the next order is created and an overview of the whole subscription in the subscription management (Article 7.5); you will receive an e-mail confirmation of every order created. We then deliver within the periods under Article 6.2, i.e. usually within 2 working days in Prague and within 4 working days in the rest of the Czech Republic. Each delivery is a separate purchase contract concluded under the subscription terms.

7.4. Minimum commitment: the subscription is agreed for at least 3 deliveries (boxes). This commitment is the consideration for the extra free bottles. During the first three deliveries you can change the flavours in the box and the delivery interval, or skip an individual delivery; the subscription cannot be cancelled during this period. This does not affect your statutory rights: even before the minimum number of deliveries is reached, you may end the subscription if we materially breach our obligations (for example repeatedly fail to deliver the ordered goods), if we stop offering the goods, or if you do not agree with a change under Article 7.10.

7.5. After the third delivery you can cancel the subscription at any time. Throughout the subscription you can change the flavours in the box and the delivery interval and skip an individual delivery. The subscription cannot be paused temporarily – skip an individual delivery instead. The box size of a running subscription cannot be changed; if you want a different size, end the existing subscription (after the third delivery) and take out a new one. Make the cancellation, skip or change before the date the next order is created. Just write to us at info@jztferments.cz – we will make the change and confirm it to you by e-mail; if the subscription e-mail contains a link for managing it, you can also make the change yourself through that link. A change or cancellation made after the order has been created takes effect only from the following delivery.

7.6. With a subscription, too, kombucha is a food with a short shelf life – therefore you cannot withdraw from an individual delivery without giving a reason (Article 9.2); we deal with defects under Article 10.

7.7. If any chosen flavour is out of stock on the day the order is created, we will let you know by e-mail before dispatching the delivery and offer a replacement with another available flavour of the same or higher value. We will not dispatch the delivery earlier than 24 hours after sending this e-mail. If you write to us within this time – or at any time later, as long as we have not dispatched the delivery – that you do not agree with the replacement, we will cancel the delivery and refund the price paid without undue delay, no later than within 14 days; the subscription does not end and continues with the following delivery. A cancelled delivery does not count towards the minimum of three deliveries under Article 7.4.

7.8. If a payment fails, we will not dispatch the delivery and will ask you by e-mail to update your payment details; we will then attempt the payment again. If the payment fails even after the repeated attempt, we will end the subscription under Article 7.9. We dispatch goods only after a successful payment.

7.9. We may end the subscription with effect from the date of the next delivery if we stop offering the goods or if a payment repeatedly fails; we will refund the price of goods paid for and not delivered.

7.10. We may change the price, the interval or these Terms for a running subscription (e.g. when the prices of ingredients or the VAT rate change). We will notify you of the change by e-mail at least 30 days before it takes effect; if you do not agree with it, you can cancel the subscription before the effective date of the change without any penalty, even before the minimum number of deliveries under Article 7.4 is reached. If you do not cancel it, the new terms apply from the effective date (Section 1752 of the Civil Code).

8. Gift cards

8.1. You redeem a gift card at checkout on a one-off purchase – on the whole range and on shipping, also in several partial redemptions, for 3 years from purchase. Subscription deliveries are paid with the payment method you saved with the first subscription order (Article 7.3). We issue the card in electronic form – we deliver the code by e-mail. We prepare a printed card on request and send it to the address given or prepare it for pickup at our premises.

8.2. The card cannot be exchanged for cash or used to buy another gift card. Protect the card code like cash: if it is redeemed by someone to whom you made the code available or who obtained it through no fault of ours, we cannot compensate you for its value. This does not apply if the code was misused as a result of a breach of our obligations – in that case we are liable under the law. If a physical card is lost, we will help you if you can prove its purchase.

8.3. As a consumer you can withdraw from the purchase of a gift card within 14 days (Article 9). For a printed card the period runs from the day you receive it, for an electronic card from the day we sent you the code by e-mail. If you have already redeemed part of the card's value by then, we will refund the money corresponding to the unused balance; the redeemed part cannot be refunded because you have already received goods for it. After the 14-day period the card cannot be returned and we do not pay out the unused balance in money – it remains on the card for a further purchase.

9. Withdrawal from the contract by a consumer

9.1. As a consumer you have the right to withdraw from the contract without giving a reason within 14 days of the day on which you or a person designated by you take delivery of the goods (for several items in one order, from the day of taking delivery of the last delivery) – Section 1829 of the Civil Code. This right applies to goods that are not a food with a short shelf life: e.g. the home kombucha brewing kit (except the sealed SCOBY culture – see Article 9.2) or a gift card (Article 8.3).

9.2. Withdrawal is not possible for kombucha and other chilled foods (Section 1837(e) of the Civil Code – goods that are perishable or have a short shelf life); the same applies to boxes, sets and Pick & mix boxes containing kombucha. Withdrawal is also not possible for goods delivered in sealed packaging which, for health protection or hygiene reasons, are not suitable for return after you have broken the seal (Section 1837(g) of the Civil Code) – in our case this is the live SCOBY culture with starter in the home kombucha brewing kit; the rest of the kit can be returned. Withdrawal is also not possible for goods made to your specifications or adapted to your personal needs, for example kombucha with a custom label (Section 1837(d) of the Civil Code). Your rights in the event of a defect in the goods (Article 10) are not affected.

9.3. Send us the withdrawal within the 14-day period by e-mail to info@jztferments.cz or by post to the address of our premises; you can use the form in Annex 1. The period is observed if you send the withdrawal no later than on its last day. We will confirm receipt of the withdrawal by e-mail.

9.4. Return the goods to us without undue delay, no later than within 14 days of the withdrawal, to the address of the premises given in the header of the Terms. You bear the costs of returning the goods; the goods can be returned by ordinary post. Do not send goods cash on delivery.

9.5. We will refund the money without undue delay, no later than within 14 days of the withdrawal (Section 1832 of the Civil Code). If you withdraw from the whole order, we will also refund the delivery costs, in the amount of the cheapest delivery method offered; if you return only part of the order, the delivery costs are not refunded. We send the money in the same way we received it, but not before we receive the goods back or you prove that you have sent them. You are liable for any reduction in the value of the goods resulting from handling beyond what is necessary to become acquainted with their nature and characteristics (Section 1833 of the Civil Code); we may set this amount off.

9.6. If a gift is provided with the goods, the gift contract is concluded subject to a condition subsequent – on withdrawal, return the gift together with the goods.

10. Rights arising from defective performance and complaints (complaints procedure)

10.1. We are responsible for the goods being free of defects on delivery – i.e. that they match the description, have the agreed and usual characteristics, are in the appropriate quantity and comply with legal regulations (Section 2161 of the Civil Code). For food this means in particular: the bottle is intact, the drink is not expired or spoiled, the contents match the label and on delivery at least 7 days remain until the use-by date.

10.2. Natural sediment, haze, pieces of culture or a slight change in carbonation or acidity within the shelf life (a live product) are not a defect, nor is a defect caused by improper storage after delivery (outside 2–6 °C refrigeration, in sunlight, after the use-by date, more than 24 hours after opening).

10.3. You may notify a defect within 2 years of delivery (Section 2165 of the Civil Code); for food, by the nature of the goods, this applies no later than the use-by date stated on the label (Section 2167(d) of the Civil Code). If a defect becomes apparent within one year of delivery, the goods are deemed to have been defective already on delivery, unless the nature of the goods or of the defect precludes this (Section 2161(5) of the Civil Code).

10.4. How to make a complaint: write to us at info@jztferments.cz with the order number and a description of the defect and attach a photograph (broken bottle, label with the date, condition of the shipment). You can call +420 608 646 411. A complaint can also be made in person or by post at the address of our premises. You do not have to send broken or expired bottles back – a photograph is enough; if we need the goods physically, we will get in touch and pay for the transport.

10.5. When you make a complaint, we will issue you a written (e-mail) confirmation stating the date the complaint was made, what it concerns, what method of settlement you request and your contact details for notifying the result. We will settle the complaint and inform you of the settlement no later than within 30 days of it being made, unless we agree on a longer period; if this period expires without result, you may withdraw from the contract or demand a reasonable discount (Section 19 of Act No. 634/1992 Coll., on Consumer Protection). We will issue you a confirmation of the settlement of the complaint with the date and method of settlement; we will give written reasons for rejecting a complaint. For chilled goods we try to settle the complaint as quickly as possible, usually within a few working days.

10.6. Method of settlement: because a drink cannot be repaired, in the case of a justified complaint you have the right to delivery of new goods free of defects (replacement) – we usually add them to your next order or send them separately at our expense. If replacement is not possible (a sold-out flavour) or you do not want it, you have the right to a reasonable discount or to withdraw from the contract (refund of the price of the defective goods) – Sections 2169–2171 of the Civil Code. We refund money without undue delay, no later than within 14 days of settling the complaint, in the same way we received it, unless we agree otherwise.

10.7. Justified complaint: you have the right to reimbursement of the costs reasonably incurred in making the complaint (e.g. postage), provided you request it within one month after the expiry of the period for notifying the defect (Section 1924 of the Civil Code). Unjustified complaint: each party bears its own costs.

10.8. Information under Section 13 of Act No. 634/1992 Coll., on Consumer Protection: the scope, conditions and method of making a complaint are described in this Article and on the Returns and Complaints Policy page (https://jztferments.cz/en/policies/refund-policy).

11. Other rights, complaints and out-of-court dispute resolution

11.1. You acquire ownership of the goods on payment of the full purchase price and taking delivery of the goods.

11.2. We are not bound by any codes of conduct within the meaning of Section 1826(1)(e) of the Civil Code.

11.3. We handle complaints at info@jztferments.cz; we will inform you of the outcome by e-mail.

11.4. The Czech Trade Inspection Authority, Central Inspectorate – ADR Department, Gorazdova 1969/24, 120 00 Prague 2, company ID 00020869, e-mail adr@coi.gov.cz, https://adr.coi.gov.cz, is competent for the out-of-court resolution of consumer disputes arising from the purchase contract. A proposal can be filed within 1 year from the day you first exercised your right with us. For cross-border disputes, the European Consumer Centre Czech Republic, Gorazdova 1969/24, 120 00 Prague 2, https://evropskyspotrebitel.gov.cz, can help.

11.5. Supervisory authorities: the Czech Trade Inspection Authority (consumer protection, https://coi.gov.cz), the Czech Agriculture and Food Inspection Authority (food and its labelling, https://www.szpi.gov.cz), the Office for Personal Data Protection (personal data, https://uoou.gov.cz), the competent trade licensing office (trade inspection).

12. Personal data and cookies

12.1. Information on the processing of personal data (Article 13 GDPR) is in the separate Privacy Policy document: https://jztferments.cz/en/policies/privacy-policy. The use of cookies is governed by the Cookie Policy (https://jztferments.cz/en/pages/cookies); you can change the settings at any time via the “Cookie preferences” link in the website footer. 13. Special provisions for business buyers (B2B)

13.1. This Article applies if you purchase as a business (you state a company ID, VAT ID or company name in the order, or it is evident from the circumstances that you are purchasing for your business activity, e.g. an office, café, restaurant or company event). Articles 9, 10.3, 10.5 to 10.8 and 11.4 do not apply to businesses; the other provisions of the Terms apply mutatis mutandis. Sections 1799 and 1800 of the Civil Code (contracts concluded by adhesion) do not apply in relation to a business.

13.2. A business has no right to withdraw from the contract without giving a reason. The risk of damage to the goods passes to the business on handing the goods over to the first carrier (Section 2090(1) of the Civil Code); the business must notify obvious defects, damage and quantity discrepancies in writing (by e-mail with a photograph) without undue delay after taking delivery, no later than within 24 hours, and for chilled goods must also check the temperature on taking delivery. Hidden defects can be notified until the use-by date. We need not accept later complaints (Section 2112 of the Civil Code).

13.3. In the case of a justified complaint we have the right to choose between delivering replacement goods, a reasonable discount and a refund of the price. Our liability for damage arising from one order is limited to the price of that order; we are not liable for lost profit. This limitation does not apply to damage caused intentionally or through gross negligence or to injury to health.

13.4. The price is payable on ordering unless an invoice due date has been individually agreed; in the event of late payment we charge statutory default interest. Wholesale prices, minimum order quantities, returnable packaging and delivery are governed by a separate wholesale offer or contract (info@jztferments.cz), which takes precedence over the Terms.

13.5. The business acknowledges that kombucha is a chilled food and is responsible for maintaining the cold chain (2–6 °C) and observing the use-by date when reselling or serving it to its customers.

14. Final provisions

14.1. Legal relationships are governed by the law of the Czech Republic; for consumers this does not affect the protection afforded to them by the mandatory provisions of the law of the country of their habitual residence (Article 6 of the Rome I Regulation). The venue for disputes with businesses is the general court of the Seller.

14.2. If any provision of the Terms is invalid or ineffective, it shall be replaced by a provision whose meaning comes closest to it; the validity of the other provisions is not affected.

14.3. The contract (order) is stored by the Seller in electronic form; you have access to it in your user account and in the confirmation e-mail, which contains a link to the wording of the Terms effective on the day of the order.
